Some straightforward companies can be formed through the S24 online procedure using standard documents. Bespoke shareholder rights, non-cash contributions, or more complex governance generally require tailored documents and a notarial route.
Registration and operation
The company is entered in the National Court Register and receives the identifiers needed for tax and statistical administration. It must maintain Polish-compliant books, prepare annual financial statements, and keep corporate records. VAT registration and additional evidence may be required depending on planned transactions.
A local registered address is necessary. Directors do not generally need to be Polish citizens, but foreign-managed companies should plan signing, banking, payroll, and tax-residence practicalities before launch.
Tax and employment
Poland applies corporate income tax, with a reduced rate potentially available to qualifying small or new taxpayers and a standard rate for other companies. Eligibility rules, connected entities, revenue thresholds, withholding tax, and anti-avoidance provisions can change the outcome.

When Poland fits
Poland is compelling for SaaS, technology, e-commerce, professional services, and other businesses that want genuine EU operations at a lower cost than many Western European centres. It is less attractive as a passive holding shell with no Polish activity. The strongest Polish company is one whose legal structure matches a real commercial reason for being there.
