Switzerland onboarding details

We offer a full service for incorporating Swiss companies as GmbH / Sàrl or AG / SA, covering legal and compliance support, coordination with the Swiss notary and Commercial Register, and ongoing liaison with local providers and banks. Core incorporation and annual maintenance are quoted after reviewing the structure; a local Swiss representative can be arranged monthly.

AML/KYC onboarding

  • Identity documents for all shareholders, UBOs, directors/board members, and authorised signatories (valid passport or ID), verified via notarisation, apostille, or video-ident as required.
  • Proof of residential address for each relevant person (utility bill or bank statement not older than three months).
  • Ownership structure chart for multi-layer or corporate ownership; UBOs with 25% or more participation or equivalent control must be identified.
  • Source of funds and, where relevant, source of wealth declarations with supporting documents.
  • Business profile of the new company (model, markets, counterparties, and expected first-year turnover).
  • Tax residence information and TIN where available for CRS and FATCA reporting.
  • PEP and sanctions status declarations for all relevant persons.

Additional measures may include

Before and after formation

  • Every Swiss company must have at least one Swiss-resident person authorised to represent it.
  • GmbH shareholders are publicly disclosed; AG shareholders are not.
  • Share capital must be deposited on a blocked capital account before registration.
  • Commercial Register registration usually takes 1-2 weeks from filing once documents and capital are ready.
  • Overall incorporation including KYC, banking, capital deposit, and registration typically takes about 6-8 weeks.

Onboarding & document standards

Switzerland requires paid-in capital and a Swiss-resident authorised representative. Incorporation proceeds after AML/KYC under FINMA and AMLA standards.

  • Identity documents must be valid and verified via notarisation, apostille, or video-ident as required by the provider.
  • Provide two different proofs of residential address dated within the last 3 months, each showing the person's name.
  • UBOs with 25% or more participation or equivalent control must be identified.
  • Corporate documents must be recent and certified where required.
  • Swiss AML/KYC under FINMA and AMLA must be completed before registration and banking.
