Panama

Maximum privacy, asterisks included.

Panama is the offshore world's privacy maximalist: no public registers of directors or shareholders, banking secrecy backed by real legal muscle, bearer shares still permitted, and a territorial tax system that ignores everything earned abroad. The asterisks are reputational - two stints on the FATF Grey List between 2014 and 2020, and a continuing EU listing as a non-cooperative tax regime. Whether Panama fits depends on which side of that ledger your counterparties read first.

The country behind the flag

An independent sovereign state between Colombia and Costa Rica, with the highest income per capita in Central America, a stable free economy, and canal revenue underwriting the budget. Politically: democratic since the end of military rule in 1989, fair elections, no military, active anti-corruption progress. The incorporation industry is deliberate national strategy - Panama built itself into a low-maintenance, flexible jurisdiction and succeeded.

The tax design

Territorial, cleanly: tax applies only to income arising inside Panama. Foreign-source revenue faces no corporation tax, no capital gains, no income tax, no withholding, no estate taxes. One unusual freedom: offshore companies aren't banned from doing local Panamanian business - they simply pay tax on that local slice. Most territorial regimes force the choice; Panama lets you mix.

The privacy stack

This is the differentiator. No public register of directors. No public register of shareholders. Banking privacy protected by significant legal measures. Bearer shares - extinct in the BVI and most respectable offshores - remain permitted. For founders whose first requirement is confidentiality, no mainstream jurisdiction goes further.

KYC still applies at incorporation - the AML baseline is global now, and Panama's compliance with it is part of its reputational repair project.

The reputational ledger

Read both columns before deciding:

AssetLiability
Deepest privacy in the mainstream offshore worldFATF Grey List history (2014-2020, twice) - removed 2023
Territorial tax, zero on foreign incomeStill on the EU's non-cooperative tax list
Civil law system with a mature incorporation industryCivil law is unfamiliar terrain for common-law counsel
Stable democracy, strong economyBanks and institutional counterparties price the flag's history

The practical read: Panama excels as a privacy-first holding layer - the quiet top of a structure - and as the civil-law alternative for founders who want foundation mechanics without Cayman pricing. It struggles where institutional recognition is the requirement: the same EU listing that doesn't bother a private asset-protection structure can complicate a banking relationship for an operating business. Match the flag to the audience that will inspect it.
